Terms of Use

These Terms govern your use of UploadWizard (the "Service"). By installing or using the Service, you agree to them. This summary is provided for convenience and is not legal advice.
The Service
UploadWizard provides a white-label portal for businesses ("customers") to collect files from their clients. You are responsible for configuring the Service, including connecting your own database and storage, and for the content uploaded through your portals.
Client Data
Data uploaded through your portal belongs to your clients and your business, not to UploadWizard. Files are stored in your own storage, and your relationship with your clients — including what you collect and how you use it — is governed by your own terms and policies. You must have the rights and lawful basis to collect and store the files processed through your portals; UploadWizard acts as a processor on your behalf.
Accounts & Responsibility
- You must provide accurate information and keep your account secure.
- You are responsible for your administrators and for the data and credentials you connect to the Service.
Encryption Passphrase & Recovery Phrase
UploadWizard provides a zero-knowledge audit log. Each tenant's audit log is encrypted with the tenant's own key, which is protected by a passphrase you set in your browser. You are solely responsible for choosing a strong passphrase, backing up the recovery phrase generated at setup (a BIP39 word list), and ensuring at least one administrator retains access to one of them. UploadWizard does not hold your passphrase or recovery phrase and cannot recover them. If you lose both, your audit log contents are permanently unrecoverable, and UploadWizard bears no liability for that loss.
Zero-Knowledge Model
The audit log is designed so that UploadWizard cannot read its contents: entries are sealed with your public key on the server and can only be decrypted by your private key in your browser. UploadWizard cannot produce your audit log contents in response to legal process or any other request, because it does not hold the decryption key.
Your Data & Storage
Uploaded files reside in your own storage. You are responsible for that storage account, its costs, availability, and backups. We are not responsible for data loss within third-party storage you control.
Payments & Billing
Paid plans are billed as described at purchase and processed by Stripe, our payment processor. Checkout happens on Stripe's hosted pages: we never collect, see, or retain your payment card information. Except where a money-back guarantee is expressly offered or the law requires otherwise, fees are non-refundable. We may change pricing with reasonable notice.
Paid plans start with a free 30-day trial. You will not be charged until the trial ends, and you can cancel at any time before then at no cost; canceling during the trial ends access when the trial expires.
Paid access renews automatically every month or year, matching the plan you chose at the price shown at checkout, until you cancel. You can cancel at any time through your account billing settings in the app at app.uploadwizard.app, or by contacting support if you cannot sign in; cancellation stops the next renewal, and access continues to the end of the period already paid for.
Acceptable Use
You agree not to use the Service to violate the law or the rights of others, and not to attempt to disrupt, reverse engineer (except as permitted by law or an applicable open-source license), or gain unauthorized access to the Service or its users.
Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, UploadWizard and its developer are not liable for indirect, incidental, or consequential damages, or for amounts exceeding the fees you paid in the 12 months before the claim (or $0 where the Service is free).
Termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms or to protect the Service and its users.
Changes
We may update these Terms; material changes are reflected in the "Last updated" date above. Continued use after changes constitutes acceptance.
Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to conflict-of-law provisions.
Severability
If any provision of these Terms is found unenforceable or invalid, it shall be limited or eliminated to the minimum extent necessary so that the remaining Terms stay in full force and effect.
